Terms of Service

1. Acceptance of Terms

By accessing or using TaxFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and VonderLinden Group LLC ("TaxFlow," "we," "us," or "our").

2. Description of Service

TaxFlow is a software application that helps users organize and categorize financial transactions for tax preparation purposes. The Service allows users to:

• Import bank statement data from PDF and CSV files
• Automatically and manually categorize financial transactions
• Track income, deductible expenses, and personal expenses
• Export organized financial data in spreadsheet format
• Track gambling win/loss information

3. NOT Tax, Legal, or Financial Advice

TaxFlow is a software tool, not a tax or financial advisory service. The categorizations, suggestions, and summaries provided by TaxFlow are for organizational purposes only and do not constitute tax advice, legal advice, or financial advice.

TaxFlow makes no representations or warranties about:

• Whether specific transactions are tax-deductible in your situation
• The accuracy of any tax liability estimates
• Compliance with federal, state, or local tax laws
• Whether any specific categorization is correct for your tax situation

You should always consult with a qualified CPA, tax attorney, or enrolled agent before making tax-related decisions. You are solely responsible for the accuracy of your tax filings.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Promptly notify us of any unauthorized use of your account
• Be at least 18 years of age
• Be responsible for all activity that occurs under your account

5. Subscription and Payment

5.1 Free Trial

We offer a 14-day free trial for new users. No credit card is required to start a free trial. At the end of the trial period, your account will be downgraded to a limited free tier unless you subscribe to a paid plan.

5.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are in US dollars and are non-refundable except as described in Section 5.4.

5.3 Price Changes

We reserve the right to change our prices. We will give you at least 30 days' notice before any price change takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5.4 Refunds

If you are not satisfied with TaxFlow, contact us within 30 days of your first payment and we will issue a full refund. After 30 days, refunds are issued at our discretion.

5.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not prorate refunds for partial billing periods.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems
• Use the Service for any fraudulent purpose
• Resell or commercially exploit the Service without our written permission
• Reverse engineer, decompile, or attempt to extract our source code

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by VonderLinden Group LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

Your data remains yours. We claim no ownership over the financial data you input into TaxFlow.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAXFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless TaxFlow and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may terminate your account at any time by contacting us or through the account settings in the app. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Philadelphia, Pennsylvania.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by email or by displaying a prominent notice in the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
