These Terms of Service ("Terms") constitute a legally binding agreement between you and VG Technologies, LLC ("Company," "we," "us," or "our"), governing your use of TaxFlow, including the web application available at gettaxflow.com and any related services (collectively, the "Service").
By creating an account, accessing, or using TaxFlow in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
If you are using TaxFlow on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
TaxFlow is a financial organization tool designed to help self-employed individuals, freelancers, and 1099 contractors organize their income and expenses for tax preparation purposes. The Service includes:
TaxFlow is not a tax advisor, CPA, accountant, attorney, or financial institution. Nothing in TaxFlow constitutes tax advice, legal advice, or financial advice. All calculations, summaries, and reports generated by TaxFlow are for organizational and informational purposes only. You are solely responsible for verifying the accuracy of your tax filings and should consult a qualified tax professional before filing.
You must be at least 18 years of age to use TaxFlow. By creating an account, you represent that you meet this requirement.
To access certain features you must create an account with a valid email address and password. You agree to provide accurate, current, and complete information and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@gettaxflow.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Each account is for use by a single individual or household (up to two named users on the Household plan). You may not share your account credentials with others or create multiple accounts to circumvent plan limitations.
TaxFlow offers a free plan and paid subscription plans (Household and Business). Features available on each plan are described at gettaxflow.com/#pricing and are subject to change with notice.
Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
You may cancel your subscription at any time by contacting support@gettaxflow.com. Cancellation takes effect at the end of your current billing period. You will retain access to paid features through the end of your paid period.
We offer a full refund within 7 days of your initial subscription purchase if you are not satisfied, no questions asked. After 7 days, refunds are evaluated on a case-by-case basis. Annual subscriptions are not prorated upon cancellation unless required by applicable law.
We may change subscription prices with at least 30 days advance notice. Continued use of the Service after a price change constitutes acceptance of the new price.
Subscription prices do not include applicable taxes. You are responsible for all taxes associated with your subscription in your jurisdiction.
You agree to use TaxFlow only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate accounts that violate these usage restrictions.
You retain full ownership of all financial data, transaction records, and other content you enter into or import into TaxFlow. We do not claim any ownership over your data.
TaxFlow is designed as a privacy-first application. Your financial transaction data is stored locally in your browser's localStorage on your own device and is not transmitted to or stored on our servers, except when you explicitly use the cloud backup feature.
Because your data is stored locally in your browser, clearing your browser data, switching browsers, or using a different device will result in loss of locally stored data. We strongly recommend using the cloud backup feature regularly. We are not responsible for data loss resulting from browser cache clearing, device failure, or other local storage issues.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
TaxFlow uses Plaid Technologies, Inc. to enable direct bank account connectivity. By connecting a bank account through TaxFlow, you agree to Plaid's End User Privacy Policy. Your bank credentials are entered directly into Plaid's secure interface and are never transmitted to or stored by TaxFlow.
Payment processing is handled by Stripe, Inc. By making a payment, you agree to Stripe's Terms of Service. TaxFlow does not store your payment card information.
We are not responsible for the availability, accuracy, or reliability of third-party services including Plaid and Stripe. Interruptions to these services may affect TaxFlow features that depend on them.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not warrant the accuracy, completeness, or usefulness of any financial calculations, tax estimates, or reports generated by TaxFlow. You assume full responsibility for verifying all information before using it for tax filing or financial decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VG TECHNOLOGIES, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless VG Technologies, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
You may stop using TaxFlow and delete your account at any time by contacting support@gettaxflow.com. Account deletion requests are processed within 30 days.
We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms, fraudulent activity, non-payment, or any other reason we deem appropriate. We will make reasonable efforts to notify you before termination except where immediate action is required to protect the Service or other users.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 10, and 12) will survive.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.
Before filing any formal legal claim, you agree to contact us at support@gettaxflow.com and give us 30 days to attempt to resolve the dispute informally. Most issues can be resolved this way.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Philadelphia, Pennsylvania, or via videoconference.
You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to bring claims as a plaintiff or class member in any class action, consolidated, or representative proceeding.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or unauthorized access to the Service.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. For significant changes, we may also send an email notification to your registered address.
Your continued use of TaxFlow after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
